Terms of service

These terms govern use of the KeyVolt website (keyvolt.us) and the KeyVolt application for BigCommerce, products of ProjectThunder.com, Inc. (“KeyVolt,” “we,” “us”). By installing or using KeyVolt you agree to these terms.

The service

KeyVolt provides automated fulfillment of software license orders placed on your BigCommerce store: routing purchased SKUs to supported software vendors, provisioning license keys, and delivering them to your customers. Supported vendor catalogs are described on our site; capabilities described as “coming soon” are not yet part of the service.

Your responsibilities

• You must have the legal right to resell the software licenses you sell through your store, including any required vendor or distributor agreements.
• You are responsible for your store’s pricing, taxes, refunds, and compliance with the laws that apply to your business.
• You will keep your BigCommerce account and KeyVolt configuration secure and accurate, including SKU-to-vendor mappings.

Subscriptions and billing

KeyVolt is billed as a subscription per the plan you select. Fees are exclusive of the wholesale cost of licenses you resell, which is between you and your vendors. Plans may be changed at any time; downgrades take effect at the next billing cycle. We may modify pricing with at least 30 days’ notice.

Service levels

We work hard to keep KeyVolt available and provisioning quickly, and we build for failure: automatic retries, protected queues, and alerting. However, fulfillment depends in part on third-party vendor APIs beyond our control, and except as expressly stated in an Enterprise agreement, the service is provided “as is” without warranties of any kind.

Limitation of liability

To the maximum extent permitted by law, our total liability arising from the service in any 12-month period is limited to the subscription fees you paid in that period. We are not liable for indirect, incidental, or consequential damages, including lost profits.

Termination

You may uninstall KeyVolt at any time, which deactivates the store connection. We may suspend or terminate service for material breach of these terms, including reselling licenses without authorization.

Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
